Event Terms and Conditions
These Event Terms and Conditions (“Event Terms “) apply to your participation in an Event conducted by DFF. For the purposes of these Event Terms, “Event” means the event for which you have registered via the form issued to you.
PARTICIPANT TERMS AND CONDITIONS
By agreeing to participate in the Event, you agree and accept these Event Terms which apply to one or more of the following types of participation (as agreed between you and DFF):
- Speaker (example: keynote, panel, workshop); and/or
- Exhibitor (example: standalone space or combined).
individually or jointly your “Participation”.
If you are an event sponsor – these Event Terms must be read together with the terms of your sponsorship. In the event of a conflict, the terms of your sponsorship agreement will prevail.
WITH REGARDS TO YOUR PARTICIPATION AT THE EVENT you agree:
- Any materials created or used by you (or your representatives and/or employees) in connection with your Participation at the Event shall be deemed Participation Materials. If requested, you will provide any PowerPoint, video, or other materials to be projected or displayed in relation to your Participation to DFF at least 72 hours prior to the Event in final format.
- No fee is payable by DFF in respect of your Participation, and you shall not be entitled to receive any remuneration, fee, commission, royalty or monetary compensation of any kind or nature from DFF or any other party in connection with the Event or any exploitation of the Participation Materials in any manner.
- You shall arrange and cover the cost of travel and accommodation required for yourself and/or any representatives to attend the Event (including transport to and from the airport) and shall be liable for any other expenses that may be incurred during the course of your Participation at the Event.
PUBLICITY
- You may publicise your Participation in the Event on your social media and/or other public profiles, such publications to be in accordance with these Event Terms. DFF grants you a revocable, non-exclusive, non-assignable, non-transferable, non-sublicensable limited license to use the DFF trademarks and logos provided by DFF to you for the sole purpose of the Participation and complying with your obligations under these Event Terms (“DFF Marks”). Your use of the DFF Marks shall always be in accordance with the terms of these Event Terms and DFF’s branding guidelines and/or other instructions communicated by DFF to you.
- You acknowledge and agree that any and all use of the Museum of the Future imagery, including but not limited to use of the image of the Museum of the Future, calligraphy or related Intellectual Property Rights, is strictly prohibited.
- In respect of your Participation, you shall not knowingly or negligently discuss, portray (whether expressly or implicitly), or do any action or permit or suffer any omission that would be; (i) detrimental to the goodwill associated with the name of DFF or its affiliates; or (ii) create unfavourable publicity or bring disrepute or controversies to DFF or its affiliates; (iii) considered as offensive to Dubai, United Arab Emirates, as well as its traditions, culture or customs; or (iv) violate any proprietary or personal rights of others (including but not limited to, copyright, trademark, privacy rights); and/or (v) be deemed defamatory, unlawful, inappropriate or offensive.
- If you require any non-typical equipment or support, it must inform DFF at least 7 business days prior to the Event. DFF shall have the right, in its sole discretion, to reject any request that it deems to be unreasonable or excessively costly.
- DFF shall have the right to publicise your Participation in the Event in a manner of its choosing including using your (or your employee’s) biography and/or likeness or logo (licensed pursuant to these Event Terms, see below) both before and after the Event. DFF shall not be required to seek your approval for its use of the approved biography, likeness or logo as contemplated hereunder.
- You acknowledge that: (a) DFF will not be held liable in any way for any loss of opportunity to publicise your Participation; (b) you grant DFF an unconditional and irrevocable right and licence to capture and record photographs, videos, Participation Materials, and statements from your Participation at the Event (collectively referred to as “Content”); (c) all rights (including intellectual property rights) in and relating to the Content shall be owned by DFF effective from its creation and you perpetually and irrevocably waive all rights arising in or in respect of the Content. Notwithstanding the foregoing and with the exception any information or documentation provided by DFF, you shall retain all intellectual property rights in relation to the Participation Materials and grant to DFF a revocable, non-exclusive, non-assignable, licence to use the Participation Materials for the purposes set out in this Agreement; (d) DFF shall be entitled to; (i) modify, edit, alter, reproduce, and translate the Content as it deems fit, (ii) publish, broadcast, stream (whether live or deferred), and transmit the Content (whether alone or in conjunction with other materials) and any derivative works created from or with it globally through any communication medium or platform whether now existing or hereafter created; (iv) utilize and publish your (or your employee’s) name, voice, likeness, and biographical solely and exclusively in connection with the Event and DFF. You agree that such rights may be exercised by DFF without prior notification or approval; (e) all rights to review and/or make any changes to the Content prior or pursuant to its usage or publications is expressly waived; (f) nothing in these Event Terms imposes an obligation on DFF to publish or broadcast the Content or promote your Participation. DFF may, at its sole and absolute discretion elect whether to archive the Content or utilize the latter for any other purpose; (g) Speaker shall not be entitled to receive any remuneration, fee, commission, royalty or monetary compensation of any kind or nature from DFF or any other party in consideration of your Participation in the Event or any exploitation of the Content in any manner; and (h) to the extent that you wish to incorporate any third-party copyright or intellectual property rights into the Participation Materials and/or Content, you shall obtain written permission from the intellectual property rights owner consistent and/or credit the owner in accordance with best industry practice and as required to comply with the rights granted to DFF as set forth herein.
- You shall indemnify DFF in respect of any and all costs, claims, expenses, demands, actions and/or damages incurred as a result of or arising out of your Participation, production and/or publication of the Content, biography, names, likeness of you (or your employees) by DFF including but not limited to claims of third-party intellectual property right infringement, defamation, invasion of privacy, or right of publicity.
- DFF’s maximum aggregate liability to you in relation to any loss, damage, claim, or liability arising in connection with your Participation and these Event Terms will be limited to the lesser of the expenses actually incurred by DFF in relation to your Participation or AED 1,000.
- You have no authority to commit, act for or on behalf of DFF, or to bind DFF to any obligations or liability.
EXHIBITORS:
- If your Participation includes exhibition or showcasing at the Event, you shall provide, for the purposes of showcasing at the Event, a display of an interactive experience and related products (“Showcasing Materials”) related to the theme of the Event and in the form agreed in advance with DFF.
- For the avoidance of doubt, DFF shall provide a designated showcasing space to you, as notified and specified in writing (“Showcasing Space”). The Showcasing Space shall be prefabricated, built and decorated by DFF incorporating the DFF Marks (“Space Decorations“). DFF shall provide you with wifi connection with reasonable connectivity and speed, in the Showcasing Space (“Tech Specifications“) in support of your Showcasing Materials.
- Notwithstanding the foregoing, DFF is unable to guarantee the stability and reliability of the Tech Specifications and shall not be responsible and/or liable for any issues relating to the Tech Specifications as provided by its third-party service providers. You are required to inform DFF in writing within five (5) Business Days from the date of receiving the Space Decorations, Tech Specifications, size and design of your logo as used in the Showcasing Space of any reasonable modification requests, which may be accommodated by DFF at its sole discretion. Further, all use of the DFF Marks by you in relation to your Participation at the Event shall be done strictly in accordance with these Event Terms.
- You represent and warrants as follows:
- You shall (i) place the Showcasing Materials in the area of the Event venue designated by DFF (“Showcasing Space”); (ii) transfer and assemble the Showcasing Materials with due care, skill, and diligence and in accordance with best industry practice; (iii) deliver the Showcasing Materials in a timely and professional manner and in strict compliance with the dates and timings communicated by DFF in writing; (iv) comply with the reasonable directions of DFF, its affiliates, the applicable landlord of the Showcasing Space and all applicable laws and regulations; (v) provide all required installation services to ensure satisfactory installation and integration of the Showcasing Materials for the Event; and (vi) at the end of the Event, demobilise the Showcasing Materials and ensure the complete reinstatement of the Showcasing Space to its original condition, including the demobilisation and removal of all installed elements, removal of waste and debris.
- Any change to the Showcasing Space will be communicated in writing by DFF to you in advance and you will accommodate any changes to the Showcasing Space as requested by DFF at no cost to DFF.
- You shall be responsible for all associated costs and expenses resulting from the transportation, unloading, assembly, dismantling, re-packing, maintenance (if applicable) of the Showcasing Materials. For the avoidance of doubt, DFF shall be responsible for all associated costs and expenses for the Space Decorations and for the reasonable modifications (at DFF’s sole discretion). In case of additional or unreasonable requests for modifications of the Space Decorations or provision of Tech Specifications, DFF may request you to bear the associated costs and expenses.
- A minimum of 14 Business Days prior to the Event, you shall provide DFF with a comprehensive list of all technical requirements for the Showcasing Materials, including the requirement for electrical points.
- You possess and maintains all requisite, consents, certificates, licences, permits and authorisations required to install, operate and otherwise showcase the Showcasing Materials and perform all its obligations under these Event Terms.
- You and your personnel, representatives and/or subcontractors have the requisite knowledge and experience to operate the Showcasing Materials safely and with due care and skill without the need for training or orientation of any kind.
- You shall report any faults with the Showcasing Materials to DFF during the course of the Event and should any element of the Showcasing Materials required replacement, fixing or alteration during the Event, the you shall replace, fix or alter the element of the Showcasing Materials as soon as possible. You shall undertake any such repairs, replacements or alterations in a manner that creates as little disruption as possible to the functioning of the Showcasing Materials during the Event and conduct of the Event.
- You shall not use the Showcasing Space or any other area of the Event for any other purpose than as strictly provided for under these Event Terms and shall not cause or permit to be caused any damage to the Showcasing Space, including any furnishings, equipment or fixtures at the Showcasing Space or Event venues.
- You shall comply (and ensure that your staff and agents comply) with the terms and conditions of these Event Terms and any instructions or notices from DFF, its affiliates and/or the applicable landlord of the Showcasing Space including but not limited to health & safety protocols and use its best efforts to ensure that all staff and representatives so comply.
- You shall not fix any bolts, nails, tacks, screws, adhesives, tape or other such fixing devices to the walls or fabric of the Showcasing Space and shall not make any permanent alterations to any aspect of the Showcasing Space or Event venue.
- You shall not alter, move or interfere with any lighting, heating, power, cabling or other electrical fittings or appliances at the Event venue, or install or use additional heating, power, cabling or other electronic fittings or appliances without the prior written consent of DFF or its affiliates.
- You shall not do or permit to be done anything at the Event venue or during the Event which is illegal or which may be or become a nuisance (whether actionable or not), annoyance, inconvenience or disturbance to DFF, its landlord in Emirates Towers or to any other customers or partners of DFF, or any owner or occupier of neighbouring property, including as a result of setting up the Showcasing Materials at the Event venue prior to the Event, or dismantling and removing from the Showcasing Materials after the Event.
- Nothing in this Agreement limits DFF’s rights to enter in agreements or otherwise engage with participants or partners, including but not limited to, in respect of object or works similar or the same as the Showcasing Material(s).
- On request you shall provide DFF with a comprehensive condition report for the Showcasing Materials, including illustrations and images, prior and following packing and transportation of the Showcasing Materials to the Event venue. The Showcasing Materials must meet the specifications and adhere to the concept design approved by DFF in writing.
- You must maintain, for the duration of the Event, the necessary insurance policies adequately insuring you as well as the Showcasing Materials to an extent and to limits that would be reasonably expected in accordance with best practice and applicable laws. You shall provide DFF with copies of its certificate(s) or other evidence of its insurance policies, including all renewals, upon DFF’s request.
- You shall not display any advertisement, signboards, flag, banner, placard, poster, signs or notices at the Event without the prior written consent of DFF.
- DFF shall be granted the necessary rights and licenses to capture, edit, reproduce, modify photographs and videos of the Showcasing Materials as well as the right to publish and distribute such photographs and videos and any derivative works created from or with it alone or in conjunction with other materials through any communication medium or platform globally whether now existing or hereafter created (the “Showcasing Content”). You expressly waive all rights to review and/or make any changes to the Showcasing Content prior or pursuant to its usage or sharing is expressly waived.
- You indemnify and holds harmless, DFF, its affiliates and, if applicable any third party landlord or the Showcasing Space (the “Indemnified Persons”) from any against any and all claims, damage, liabilities, losses (including any loss of, damage to, any property of, or injury or death of, any person) and expenses of any kind whatsoever (including the costs in connection with defending against any of the foregoing or in enforcing the indemnity) incurred or suffered by the Indemnified Persons due to the installation, provision, demonstration or dismantling of the Showcasing Materials or related thereto.
TERM, TERMINATION, AND SURVIVAL
- The Event Terms will commence on date of the submission of your registration via the online form issued to you (the “Effective Date”) and continue until completion of the provision of the services or cancellation of the Event (“Term“), unless sooner terminated in accordance with the terms below.
- DFF shall have the sole and absolute right to withdraw your Participation at the Event and/or terminate this Agreement for any reason and at any time by providing written notice.
- If you fail to complete the scope of your Participation in any circumstances, you agree to reimburse DFF for any non-cancellable expenses and direct losses DFF incurs as a result of your actions.
- You shall have the right to terminate this Agreement at any time, effective immediately, on written notice to DFF if DFF becomes insolvent, files a petition for bankruptcy, or commences, or has commenced against it, proceedings relating to bankruptcy, receivership, reorganization, or assignment for the benefit of creditors.
ASSIGNMENT
- You may not assign, transfer, delegate, or subcontract any of your rights or obligations under these Event Terms without the prior written consent of DFF. DFF may at any time assign, transfer, delegate, or subcontract any or all of its rights or obligations under these Event Terms without your prior written consent.
FORCE MAJEURE
- For the purposes of these Event Terms, a “Force Majeure Event” means an event or circumstance which is beyond the control and without the fault or negligence of the affected party and which by the exercise of reasonable diligence the affected party is unable to avoid or prevent.
- Neither Party will be liable for any loss or damage resulting from its failure or delay in performing its obligations (other than an obligation to pay money) to the extent that such failure or delay arises from a Force Majeure Event provided the affected Party (i) promptly gives written notice to the other Party describing the Force Majeure Event and how the performance of its obligations has been prevented or delayed; (ii) uses its best endeavours to restore its ability to perform its obligations; and (iii) mitigates the effects of the Force Majeure Event and continues to perform those obligations not affected by the Force Majeure Event.
GOVERNING LAW AND DISPUTE RESOLUTION
- Event Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (“DIFC”) and any dispute, difference, controversy, or claim arising out of or in connection with this Agreement that will be subject to the exclusive jurisdiction of the DIFC Courts.
- The Parties must continue to perform their obligations under this Agreement while any dispute is being resolved, except that where the dispute relates to an invoice, DFF may withhold payment until the dispute is resolved.
